Below are the terms and conditions that apply to the Twitch gift card ("Gift Card") and the remaining balance on the Twitch gift card ("Gift Card Balance"). The use of the Twitch gift card and its balance is also governed by Twitch's Terms of Service, which are incorporated herein by reference. In case of any conflict, the provisions of these terms and conditions shall prevail.

The Twitch gift card is issued by Twitch Interactive Inc., a company based in Delaware. The value of the Twitch gift card is automatically added to the gift card balance, which can be managed through the Twitch wallet upon redeeming the gift card.

The gift card is redeemed by visiting the website twitch.tv and entering the code located on the back of the gift card. Internet access is required (separate charges may apply). Once you enter the code on the back of the Twitch gift card, the full value corresponding to the gift card will be added to the gift card balance and can be managed from the Twitch wallet. The gift card balance shows the total remaining balance that has been added to the Twitch wallet but has not yet been applied to any purchase. To view your gift card balance, log in to your account and go to the account dropdown menu. To redeem the gift card, you must have a Twitch account. Purchases are deducted from your gift card balance. If a purchase exceeds the gift card balance, the remaining amount must be paid with another payment method.

Gift cards can only be redeemed for the purchase of eligible goods and services provided by twitch.tv and its partners at www.twitch.tv, or some of its affiliated companies. Eligible products and services are subject to change at our sole discretion. The redemption of gift cards at any affiliated company is subject to change at our sole discretion.

The balance of the gift card cannot be used to purchase other gift cards, prepaid cards, or certain third-party gift cards. The gift card may not be reloaded, resold, used for payments outside of www.twitch.tv or affiliated companies, used without permission for advertising, marketing, promotion, or commercial purposes, redeemed for a value greater than its face value, transferred as consideration, redeemed for cash, returned for a cash refund (unless required by law), or used in any other way prohibited by Twitch. No part of your gift card balance may be transferred to another person, another Twitch wallet, or another Twitch account. The Twitch gift card can only be redeemed by individuals aged 13 and above.

The risk of loss and title for gift cards passes to the purchaser upon our electronic transmission of the gift card to the purchaser or designated recipient, or our delivery to the carrier, whichever applies. Gift cards can be obtained from Twitch or an authorized third party. You are responsible for safeguarding your gift card and gift card balance from unauthorized use. Treat your gift card and gift card balance like cash. We are not responsible if any gift card is lost, stolen, or destroyed, or if your gift card balance or any gift card is used without your permission. There are various types of fraud involving gift cards that request payment via gift card. Twitch is not responsible and assumes no liability to you for any unlawful conduct or fraud by any third party associated with any gift card.

The use of the gift card implies consent and compliance with these terms and conditions and Twitch's Terms of Sale, as well as that the gift card or the balance of the gift card will not be used in any way that is fraudulent, misleading, unfair, or otherwise harmful to Twitch, its partners, or its customers. We reserve the right, upon notice, to cancel the gift card (as well as the gift card balance) without compensation, to suspend or terminate the ability to use our services, to cancel or limit orders, and to charge for alternative payment methods if we have an objective reason to believe that the gift card has been acquired, used, or applied to the Twitch account (or that the gift card balance has been applied to a purchase) fraudulently, illegally, or otherwise in violation of these terms and conditions, as such measures are required and to the extent necessary to stop or prevent misuse of the respective gift card or its consequences.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DO NOT OFFER ANY WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO THE GIFT CARDS (INCLUDING, WITHOUT LIMITATION, ANY EXPRESS OR IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE). TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN THE EVENT A CARD IS NON-FUNCTIONAL, YOUR SOLE REMEDY, AND OUR SOLE LIABILITY, WILL BE THE REPLACEMENT OF SUCH GIFT CARD.

If your residence is in the European Union (EU) and you are acting as a consumer pursuant to Council Directive 93/13/EEC, i.e., for purposes outside your trade, business, or profession, the following replaces the aforementioned limitations of liability:

(i) Nothing in these terms and conditions shall result in the exclusion or limitation of Twitch's legal liability under applicable law in the event of (i) death or personal injury resulting from an act or omission of Twitch, (ii) fraudulent misrepresentation or fraudulent concealment of defects in the gift card as sold and redeemed by Twitch, (iii) loss and unnecessary expenses caused by intentional intent or gross negligence of Twitch, (iv) breach of a contractual warranty as to the quality of the gift card granted by Twitch, or (v) other cases where liability cannot be excluded or limited by agreement between the parties in advance (such as under applicable product liability laws). Subject only to the preceding sentence,

• Twitch shall not be liable for loss and unnecessary expenses (collectively "Damages") you may suffer that were caused without negligence or willful intent of Twitch.
• Twitch shall not be liable for your Damages caused by the breach of a non-material contractual obligation of Twitch committed with slight negligence.
• Twitch's liability for breach of essential contractual obligations with only slight negligence shall be limited to the Damages foreseeable by the parties at the time of entering into the agreement between you and Twitch that typically arise in such transactions. For this purpose, an essential contractual obligation is considered an obligation of Twitch, the fulfillment of which is a prerequisite for the proper performance of this agreement and on the fulfillment of which you can and do rely.

(ii) The above limitations of liability apply mutatis mutandis to the liability of our employees, officers, legal representatives, and third-party agents.

(iii) In addition to the limitation of liability referred to in the above subsections (i) and (ii), if permitted by consumer laws applicable in the EU country in which you usually reside and except for the cases mentioned in the first sentence of the above section (i), the liability of Twitch, our employees, officers, legal representatives, and third-party agents for damages and unnecessary expenses you may suffer in connection with a gift card, a purchase, or the Twitch service caused by Twitch only with slight negligence, is limited solely to the purchase price you paid for the respective gift card, purchase, or Twitch service.

Any dispute or claim related in any way to the Gift Card or the Gift Card balance will be resolved through binding arbitration, rather than in court, except for the ability to file in Small Claims Court if your claims meet the criteria. This agreement is governed by the Federal Arbitration Act of the United States and U.S. federal arbitration law.

There is no judge or jury in arbitration, and the ability to review an arbitration decision in court is limited. However, an arbitration award can provide the same damages and remedies as a court (such as injunctive relief and declaratory or legal damages) and must follow these terms and conditions as a court would. You and Twitch agree to notify each other in writing of any dispute within thirty (30) days of it arising. Notice to Twitch will be sent to Twitch Interactive, Inc., Attn: Legal, 350 Bush Street, 2nd Floor, San Francisco, CA 94104, USA. You and Twitch further agree: to attempt informal resolution before any arbitration claim, that any arbitration will take place in Santa Clara County, California, USA, that arbitration will be conducted confidentially by an arbitrator in accordance with JAMS rules, and that state or federal courts in Santa Clara County, California, USA have exclusive jurisdiction over any challenges to the arbitration award and any litigation between the parties that is not subject to arbitration. Aside from class actions and injunctive relief discussed below, the arbitrator has the authority to grant any relief that would be available in a court. Any dispute between the parties will be governed by these terms and conditions and the laws of the State of California, USA, and applicable U.S. federal law, without regard to conflict of law principles that might apply the law of another jurisdiction. Whether the dispute is resolved through arbitration or in court, you and Twitch agree not to bring class, representative, or collective actions or proceedings against each other. You and Twitch also agree that either party may bring an action in court for disputes where any party seeks injunctive or other equitable relief for alleged infringement of copyrights, trademarks, trade names, logos, trade secrets, or patents.

If your residence is in the European Union and you act as a consumer as provided under Regulation (EC) No 593/2008, meaning for purposes outside your trade or professional activity, the above choice of applicable law will not deprive you of the protections granted by provisions that cannot be waived by agreement under the laws applicable in your country of residence.

If your residence is in the European Union and you act as a consumer as provided under Regulation (EC) No 1215/2012, meaning for purposes outside your trade or professional activity, the above choice of applicable law does not apply to you. In this case, you may bring legal action against Twitch either in the courts of Twitch's headquarters or in the courts of your place of residence, and Twitch may only bring an action against you in the courts of the member state of the European Union where you reside.

Twitch reserves the right to require additional verification of your identity, gift card, or account ownership, or an additional payment method, before you can apply a gift card to the Twitch wallet or your gift card balance for a purchase. Gift cards and gift card value do not expire. There are no fees associated with gift cards. We reserve the right to change these terms and conditions without notice, from time to time at our sole discretion. All terms and conditions apply to the extent permitted by law. If any of these terms and conditions are found to be invalid or for any reason unenforceable, such unenforceable term shall be deemed severable and shall not affect the validity and enforceability of any remaining terms and conditions.
